Terms of Service

Thank you for using Acci. These Terms of Service (‘Terms’) are a legally binding agreement between you and Kullabut Kaewka (Samutprakarn, Thailand), the owner and operator of acci.cloud (hereinafter referred to as ‘Acci’, ‘Acci.cloud’, ‘the Service’, or ‘We’).
When we say “Acci”, “Acci.cloud”, “the Service”, “Company”, “we”, “our”, or “us” in this document, we are referring to Kullabut Kaewka.
When we say ‘Services’, we mean our websites, including acci.cloud, and our web applications, including all features, tools, and functionalities provided through the platform.
When we say ‘You’ or ‘your’, we are referring to the individual, people, or organizations that create an account with us. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
For the purposes of these Terms, ‘Account Owner’ refers to the individual or entity identified as the Subscriber within the Service’s billing and account settings.
We may update these Terms in the future. Typically these changes are to clarify terms by linking to an expanded related policy. Whenever we make a significant change, we will refresh the date at the top of this page and take appropriate steps to notify account holders.
By using our Services, now or in the future, you are agreeing to the latest Terms. There may be times where we do not exercise or enforce a right or provision of the Terms; however, that does not mean we are waiving that right or provision. These Terms do contain a limitation of our liability.
If you violate any of the Terms, we may terminate your account.
Account Terms
1. You are responsible for maintaining the security of your account and password and for ensuring that any of your users do the same. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
2. You are solely responsible for all content posted and activity that occurs under your account (even when content is posted by others who have access to your account). You are responsible for maintaining the security of your account and password. Acci cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
3. You must be a human. Accounts registered by “bots” or other automated methods are not permitted.
4. Restricted Uses: You may not use the Services for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the Services. Specifically, you may not use Acci.cloud for any business or activity related to:
- Illegal Activities: Any activity that is illegal in Thailand or the United States, including the sale of illegal drugs or unauthorized controlled substances.
- High-Risk Financial Services: Money laundering, pyramid schemes, “get rich quick” schemes, or unlicensed currency exchange/remittance.
- Regulated Goods: Sale of tobacco, e-cigarettes, weapons, or ammunition.
- Adult Content: Providing or billing for adult entertainment, pornography, or sexually explicit services.
- Gambling: Online gambling, lotteries, sports betting, or games of chance for prizes of monetary value.
- Deceptive Practices: Phishing, identity theft, or the distribution of malware, viruses, or other harmful code.
- Abuse and Harassment: Using the Acci system to harass, threaten, or defame individuals or organizations.
- Spam: Sending unsolicited invoices or using the platform to facilitate mass unsolicited emails.
User Responsibility: You are responsible for ensuring that your customers and any sub-users you create also comply with these restrictions. Acci.cloud reserves the right, in its sole discretion, to determine what constitutes a violation of these policies and to terminate accounts found to be in violation without notice.
Billing, Payment and Usage Limits
1. Subscription and Seats.
The Service is billed on a “Per Seat” basis.
- The First Seat: When you register and pay for a subscription, your account includes one (1) Seat. This seat is automatically assigned to you as the Account Owner.
- Additional Seats: You may purchase additional Seats at any time. Each Seat allows you to invite one (1) additional user to your business account.
- Capacity: Your account limits are determined by the total number of Purchased Seats. Each Seat adds 100 finalized invoices and 1GB of storage to your account’s total pooled limit. (Example: A subscription with 3 Seats has a total limit of 300 invoices and 3GB of storage).
- Multi-Company Access: You may create multiple business entities (Production Companies) under a single subscription at no additional base cost.
- The Sample Company: Every subscriber is provided with a “Sample Company” for testing and training. This environment is excluded from the multi-company billing logic and does not count toward your seat or usage limits.
2. Usage Limits and Extra Charges.
Extra Invoices:
Any finalized invoices created beyond your total pooled limit will be billed at $1 per additional block of 100 invoices (or any portion thereof). These charges are calculated at the end of your billing cycle and added post-paid to your next invoice.
- A “finalized invoice” refers to any sales record assigned a unique invoice number within the system. This includes:
- Manual Entry: Invoices created directly through the Acci.cloud user interface.
- Data Imports: Invoices brought into the system via CSV, Excel, or other file uploads.
- API Integration: Invoices generated through third-party connections or API calls.
- Invoices held in “Draft” status do not count toward your monthly limit until they are finalized/issued.
- Invoices created within a “Sample Company” do not count toward this limit.
External Linking (Free):
To help you save costs, the Service allows you to attach external links to your attachments or image files (e.g., Google Drive, Dropbox, or OneDrive). External links do not count toward your storage limit.
Fair Use & Service Integrity:
We employ automated rate-limiting and security tools to protect the Service. If your usage significantly impacts performance, you may receive “429 Too Many Requests” errors or temporary IP blocks. We reserve the right to temporarily disable your account or apply automated rate-limiting if your usage (API calls, bandwidth, or processing load) significantly impacts the performance of the Service for others. Except in emergencies where immediate action is required to prevent system failure, we will attempt to contact the Account Owner before taking manual action.
3. Subscription Cycles.
All paid plans are billed in advance on a monthly basis.
4. Automatic Renewal.
Your subscription and any active storage add-ons will automatically renew each month on your Billing Anniversary.
Direct Registration: You may choose to bypass the trial period and purchase a paid subscription immediately upon registration. In this case, payment is processed at checkout, and your billing anniversary date will be set to the date of registration.
Free Trial: Alternatively, you may sign up for a 14-day free trial. No credit card is required for this trial. To continue using the Service after the 14 days, you must upgrade to a paid subscription. If you are upgrading from a free trial to a paid plan, we will charge your card immediately upon upgrade. Your official billing cycle begins on the date of the upgrade, and any remaining days in your trial period will be forfeited.
5. Plan Upgrades and Changes.
You may add Seats or purchase additional storage blocks at any time.
Proration: When you add a Seat or storage mid-cycle, we will charge a prorated amount for the remaining days in your current billing period.
Alignment: Your renewal date (Billing Anniversary) will remain the same. On your next renewal date, you will be charged the full monthly rate for your total number of Seats and additional storage blocks (if any).
6. Non-Payment and Account Suspension
Acci.cloud is a subscription-based service. To ensure the continuity of your business records, we handle non-payment as follows:
- Grace Period: In the event of a failed subscription payment, we provide a 7-day grace period during which your service remains fully active to allow for billing updates.
- Suspension: If an account remains unpaid after the grace period, access to the application will be suspended. Your data will remain securely stored and isolated, but you will not be able to access your documents or reports until the balance is settled.
- Automatic Deletion for Non-Payment: Accounts that remain in a suspended or unpaid status for more than 60 consecutive days will be considered abandoned. At this point, the account and all associated data (including the isolated database) will be flagged for permanent removal and purged from our systems as part of our data minimization and security protocols.
- Final Notification: We will attempt to notify you via your registered email address before the final 60-day purge occurs. Once the 60-day period has passed and the purge is complete, data cannot be recovered.
7. Data Retention and Cancellation.
We believe that you should have full control over your business data. Our retention policy is designed to balance your right to be forgotten with the practicalities of business continuity.
- Account Cancellation: If you cancel your subscription, your data will remain accessible until the end of your current billing cycle. After this period, your account will enter a “Deactivated” state for 30 days to allow for easy reactivation should you change your mind.
- Permanent Deletion: If you choose to manually delete your account or request a permanent purge, your data will be flagged for removal and permanently deleted from our active production databases within 60 days.
8. Taxes.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required by law, our authorized merchant of record will calculate and collect those taxes on behalf of the taxing authority based on your location. These taxes will be added to your final invoice at checkout or renewal. You are responsible for providing accurate location and tax identification information.
Refund Policy
We want you to be 100% satisfied with the Service. To ensure a “calm” experience, we provide a self-service refund tool with a no-questions-asked policy based on the following terms:
- Full Refund: You may request a 100% refund. This applies to the first month of service only.
- One-Time Limit: To prevent abuse, each Subscriber is eligible for a refund only once. Subsequent subscriptions, seats, or renewals are not eligible for refunds.
- Termination upon Refund: Because these are “no-questions-asked” refunds, processing a refund will result in the immediate termination of your subscription and access to the Service.
– Data Responsibility: You are responsible for exporting your invoices and data before requesting a refund. Once the refund is processed, your data will be queued for deletion and cannot be recovered.
Cancellation and Termination
1. You are solely responsible for properly canceling your account.
2. Self-Service: We provide a simple, no-questions-asked cancellation button on your Subscription Page. This is the only authorized method for canceling your subscription.
3. Non-Standard Requests: An email, chat message, or phone request to cancel your account does not constitute a cancellation. You must use the cancellation button to ensure your billing is stopped and your data is handled according to your preferences.
4. We reserve the right to suspend or terminate your account at our discretion if we detect activity that harms the Service or breaches these terms.
5. Upon Refund: If you process a refund, your account and all associated data will be immediately and permanently deleted.
6. If you cancel your subscription without a refund, you will retain access until the end of your current paid period. Following the end of your period, we will store your data for 60 days to allow for reactivation. After 60 days of inactivity, all data will be permanently deleted.
7. Exporting Data: You are responsible for exporting your data before your access ends. We are not liable for any loss of data resulting from termination or your failure to export records.
8. Professional Conduct. We are committed to providing a professional and respectful Service. Verbal, physical, written, or other abuse (including threats of abuse or retribution) directed toward the acci.cloud personnel, officers, or representatives of the Service will result in immediate account termination without a refund.
Security and Backups
We employ industry-standard encryption for all data in transit and perform regular backups of our databases. While we take extensive measures to protect your data, the Service is provided on an “as-is” basis, and we cannot guarantee that security breaches will never occur. You are encouraged to maintain your own records and exports of critical data.
Service Standards and Accuracy
1. Design & Features: We design Acci.cloud with care based on professional accounting needs. However, we make no guarantee that the Service will meet your specific requirements or expectations. The Service is provided as-is, and we reserve the right to modify or remove features at our discretion.
2. Bugs and Errors: While we test all features extensively, all software inevitably has bugs. We prioritize fixes related to security and privacy, but we do not guarantee an error-free Service or that every reported bug will be fixed.
3. No Professional Advice: Acci.cloud is a software tool, not a tax or accounting firm. You are responsible for verifying the accuracy of any data used for legal or tax filings.
Support and Communication
1. Support Channels:
We provide technical support exclusively through our Support Ticket system and Email.
2. No Real-Time Support:
Acci.cloud does not provide telephone support or live chat services.
3. Response Times:
While we strive to respond to all inquiries within 1–2 business days, we do not guarantee a specific response time. Support is handled by the founder and prioritized based on the severity of the issue, with security and data access issues receiving top priority.
Invoice Collection and Payment Processing
1. Role of Acci.cloud: Acci.cloud provides a software interface to help you generate invoices and send payment links to your customers. Acci.cloud is not a bank, a money transmitter, or a payment processor.
2. Third-Party Processor (Stripe): All payment processing is handled directly by Stripe, Inc. By using the “Pay Now” feature, you agree to comply with the Stripe Connected Account Agreement.
3. Direct Funds Flow: All funds collected via your invoices are deposited directly into your linked Stripe account. At no point does Acci.cloud hold, touch, or “float” your money.
4. No Liability for Disputes: We are not responsible for payment failures, chargebacks, fraud, or disputes between you and your customers. Any issues regarding the movement of money must be resolved via Stripe or your banking institution.
Limitation of Liability and Disclaimer
1. “As-Is” Service. Acci.cloud is provided on an “as-is” and “as-available” basis. While we strive for 100% accuracy and uptime, we do not offer formal service-level agreements and do not warrant that the Service will be error-free, uninterrupted, or that the results obtained from using the Service will be accurate or reliable for legal tax filings.
2. Not a Professional Advisor. Acci.cloud is a software tool, not a professional accounting, tax, or legal firm.
You are responsible for the accuracy of the data you enter.
You are responsible for verifying that the reports generated by the Service comply with your local laws and regulations.
Use of the Service does not create a professional-client relationship between you and the Owner of Acci.cloud.
3. Disclaimer of Damages.
You expressly understand and agree that Acci.cloud (and its owner) shall not be liable to you or any third party for any direct, indirect, incidental, special, consequential, or exemplary damages. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages) resulting from:
(i) The use or the inability to use the Service;
(ii) Unauthorized access to or alteration of your transmissions or data;
(iii) Any errors or inaccuracies in the results generated by the Service;
(iv) Or any other matter relating to the Service or these Terms.
4. Specific Exclusions for Payroll and ACH (Automatic Clearing House)
Acci.cloud provides tools for payroll and Automatic Clearing House (ACH) file generation, but we do not execute these as a fiduciary or advisor.
– Final Approval: You are the Sole Approver. You must verify all calculations, tax withholdings, and bank details before authorizing payments.
– No Tax/Penalty Liability: We are not responsible for any late fees, interest, or legal penalties resulting from incorrect payroll filings or failed ACH transfers.
– Banking Errors: ACH processing is subject to the rules of the banking system. We are not liable for delays, reversals, or errors caused by your bank or the receiving bank.
5. Cap on Liability.
To the maximum extent permitted by law, Acci.cloud (and its owner) shall not be liable for any direct, indirect, incidental, special, or consequential damages—including loss of profits, data, or business reputation—arising from your use of the Service. In any event, our total cumulative liability to you for any claim shall not exceed the total amount of subscription fees paid by you to Acci.cloud during the six (6) months immediately preceding the event giving rise to the claim.
Modifications to the Service and Prices
1. Service Changes: We are constantly improving Acci.cloud. We reserve the right to modify or discontinue, temporarily or permanently, any part of the Service with or without notice.
2. Pricing Changes: We will provide at least 30 days’ notice via email before any price change takes effect for your account.
3. Price Hike Refund: If you choose to cancel your subscription specifically because of a price increase, you may request a full refund of your last monthly fee. This request must be made within 15 days of the price change notice. This “grace period” is intended to give you time to export your data and migrate to another service without being charged for your final month.
API and Third-Party Access
If you use any API or third-party integration to access Acci.cloud, you agree that:
1. We are not liable for any damages caused by third-party tools.
2. Abuse or excessive requests (determined solely by us) will result in immediate suspension of access to protect server stability.
3. You may not use our data to build surveillance or employee-monitoring tools.
Copyright and Content Ownership
1. Ownership of Your Data:
We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours. However, by using Acci.cloud, you grant us a non-exclusive, limited license to host and process your data solely to provide the Service to you.
2. Acci.cloud Intellectual Property:
You agree that Acci.cloud (and its owner) owns all rights to the software, including the design, code, and logos. You may not duplicate, copy, sell, resell, exploit or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission.
3. Copyright Compliance:
As Acci.cloud utilizes high-performance infrastructure located within the United States, all users agree to comply with U.S. Copyright Law (including the Digital Millennium Copyright Act – DMCA). We reserve the right to remove any content hosted on our nodes in Los Angeles, Dallas, or New York that is alleged to infringe upon third-party intellectual property.
4. Right to Remove:
While we do not pre-screen content, we reserve the right to remove any content or account that we determine, in our sole discretion, violates these terms or is otherwise unlawful.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Thailand. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Samutprakarn, Thailand.
